In accordance with Section 79 of the Information Technology Act, 2000 (as amended in 2008), read with Draft Information Technology [Intermediary Guidelines (Amendment) Rules], 2018 and any equivalent or similar laws in other jurisdictions which are intended to exclude or limit the liability of online service providers who provide access to user-generated content, we generally cannot be held liable for claims arising from the Content provided by third parties on EnrichK.

3.2   Terms of use

You represent and warrant that you will use EnrichK solely for lawful purposes in a manner consistent with these Terms and any and all applicable laws, regulations, or other legally enforceable obligations (including contractual obligations) you may have towards us and any third parties. You are solely responsible for any and all Content that is posted through your account on EnrichK ("Your Content"). You agree that by submitting or authorizing Your Content for use on EnrichK, you have reviewed and understood our terms of use or user agreement. You understand that you may expose yourself to liability if Your Content or other use of EnrichK violates applicable law or any third-party right.

You agree that you will not:

• Violate the privacy, publicity, copyright, patent, trademark, trade secret, or other intellectual property or proprietary rights of any third-party;

• Post anything pornographic or sexually explicit in nature, or engage in the exploitation of persons in a sexual or violent manner;

• Solicit personally identifying information from minors;

• Except as expressly approved by us, and subject to applicable laws, use EnrichK for commercial activities and/or promotions such as contests, sweepstakes, barter, pyramid schemes, advertising, affiliate links, and other forms of solicitation;

• Imply an EnrichK endorsement or partnership of any kind without our express written permission;

• Send messages in violation of the applicable anti-spam law;

• Introduce software or automated agents to EnrichK, or access EnrichK so as to produce multiple accounts, generate automated messages, or to scrape, strip, or mine data from EnrichK without our express written permission;

• "Frame" or "mirror" or otherwise incorporate part of EnrichK into any website, or "deep-link" to any portion of EnrichK without our express written permission.

• Copy, modify, or create derivative works of EnrichK or any Content (excluding Your Content) without our express written permission;

• Copy or use the information, Content (excluding Your Content), or data on EnrichK in connection with a competitive service, as determined by EnrichK;

• Interfere with, disrupt, modify, reverse engineer, or decompile any data or functionality of EnrichK;

• Interfere with, disrupt, or create an undue burden on EnrichK or the networks or services connected to EnrichK;

• Introduce any viruses, Trojan horses, worms, time bombs, cancelbots, corrupted files, or similar software to EnrichK; or Attempt to circumvent any security feature of EnrichK;

You may not use this website to perform the following actions, including but not limited to:

• Creating, copying, publishing, spreading the content which violates the local laws and regulations.

• Releasing, transmitting, spreading, and storing content that infringes upon the rights of others, such as the rights of reputation, portraiture, intellectual property, trade secrets, and other legal rights.

• Spreading fictitious information, concealing the truth for misleading or deceiving others.

• Using the website to publish, spread, and promote advertisement and spam.

• Engaging in other violations of local laws and regulations.

You understand and agree that:

• In case we suspect that the User violates this Agreement, the access may be revoked, or other appropriate measures within the scope of this Agreement might be taken.

• If the User publishes the information which may infringe upon any person's legal rights or violates this Agreement, the information will be deleted directly.

• In the event of damage to a third party by a User who violates this Agreement, the User shall assume liability in their own name and understand that we shall not be responsible for any loss or damage.

• If the User violates the law or the terms of this Agreement, which leads to loss from the side of us or a third party, as well as to fines from legal authorities, the User should compensate for the loss caused and/or the costs incurred, including reasonable lawyer fees, investigation and evidence collection costs.

When you leave EnrichK, our terms and policies do not govern your use of third-party websites. EnrichK assumes no responsibility for the content, privacy policies, or practices of any third-party websites or services.

• You further acknowledge and agree that EnrichK shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with use of or reliance on any such content, or services available on or through any such websites or services.

• Any controversy or dispute between You and a provider of any third-party website or services shall be settled by You and the said party as per the business procedures and regulations of the provider of the third-party website/service, and we will not bear any liability.

4. Enforcement by EnrichK

4.1   Removal of Content:

While EnrichK has no obligation to do so, EnrichK reserves the right to review and delete any Content (or portion thereof) that we believe, in our sole discretion, violates these Terms or other applicable policies posted on EnrichK, or that we deem, in our sole discretion, inappropriate. If you see any Content or any user/member on EnrichK that you believe violates our policies, you may report that Content by clicking on an applicable link adjacent to that Content (e.g. three-dot icon: "Report post or member") or by contacting us here. Once notified, we will review the Content or the member and consider whether to remove it (or a portion thereof).

 

Please note: Our interpretation of our policies and the decision whether or not to edit or remove Content or member is within our sole discretion. You understand and agree that if we choose not to remove or edit Content or a member that you find objectionable, that decision will not constitute a violation of these Terms or any agreement we have with you.

• To the greatest extent permitted by applicable law, you hereby expressly waive any and all of your moral rights applicable to EnrichK's exercise of the foregoing license. You agree that this license includes the right for us to provide, promote, and improve EnrichK and to make Content posted to or submitted to or through EnrichK available to other companies, organizations, or individuals for the syndication, broadcast, distribution, promotion, or publication of such Content on other media and services, subject to our terms and conditions for such Content use.

• No compensation will be paid with respect to the Content that you post through EnrichK. You should only post or submit Content to EnrichK that you are comfortable sharing with others under the terms and conditions of these Terms.

6. Rights to EnrichK Content

• EnrichK contains Content provided by us and our registered authors. We and our authors (including other Users) own and retain all proprietary (including all intellectual property) rights in the Content we each provide and EnrichK owns and retains all property rights in EnrichK. If you are a user, we hereby grant you a limited, revocable, non-sublicensable license under the intellectual property rights licensable by us to download, view, copy, share and print Content from EnrichK solely for your personal use in connection with using EnrichK.

7. Author’s Content and its obligation

• All the authors agree to the terms of this agreement regarding the process of registration as an author and getting articles published on the website, use of the website and its features provided to authors, content policy and quality standards to be maintained of content in their articles. As an author, you also agree to all other terms of this agreement that are not specifically intended for authors.

• Any professional in the field of accounting, taxation, auditing, finance, management, corporate and allied law such as Chartered Accountant (CA), Company Secretary (CS), Cost and Management Accountant (CMA), Lawyer/Advocate, Chartered Financial Analyst (CFA), or any Finance professional, Tax professional, Commerce graduate or postgraduate, or any other professional carrying equivalent qualification in the field of business and commerce can apply to register himself/herself as an author to EnrichK to contribute their articles.

• Process of Registration:

4. After getting satisfied with your application, you will be registered as an author of this portal within 3 working days;

5. You will be notified by email about the acceptance or rejection of your application for registration as an author.

You agree to defend, indemnify and hold harmless EnrichK and its members, authors, licensors, and suppliers, from and against all claims, actions or demands, liabilities, and settlements, including, without limitation, reasonable legal and accounting fees, reasonable attorneys’ fees and costs, made by any third party due to or otherwise arising in connection with your use of the Site or resulting from, or alleged to result from, your use of the Site or your violation of any provision of this Agreement or your violation of the applicable law or the rights (including infringement of intellectual property rights) of a third party. You will cooperate as fully required by us in the defense of any claim. We reserve the right to assume the exclusive defense and control of any matter subject to indemnification by you, and you will not, in any event, settle any claim without the prior written consent of us.

• EnrichK assumes no responsibility and disclaims all liability for the content, accuracy, completeness, legality, reliability, or availability of any blog post, forum page and forum post, screener question, answer to screener question, profile information, or message you post, send or receive through EnrichK or the EnrichK Messaging Service.

• You are solely responsible for your interactions with advertisers, authors, members, and other users and we are not responsible for the activities, omissions, or other conduct, whether online or offline, of any advertiser, author, member, or user of EnrichK. We expressly disclaim any warranties and conditions of any kind, whether express or implied, including the warranties or conditions of merchantability, fitness for a particular purpose, title, quiet enjoyment, accuracy, or non-infringement. • You hereby release the EnrichK from any and all claims, demands, and losses, damages, rights, claims, and actions of any kind that are either directly or indirectly related to or arises from (1) the actions, Content, or data of third parties (including, advertisers and other users) (2) your participation in any offline events.

IN NO EVENT WILL ENRICHK AND ITS LICENSORS BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, PUNITIVE, EXEMPLARY DAMAGES, OR ANY AND ALL OTHER DAMAGES WHATSOEVER (INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF BUSINESS PROFITS, BUSINESS INTERRUPTION, LOSS OF DATA, PERSONAL INJURY, FAILURE TO MEET ANY DUTY INCLUDING ACTS OF GOOD FAITH OR OF REASONABLE CARE, LACK OF NEGLIGENCE, AND FOR ANY OTHER PECUNIARY OR OTHER LOSS WHATSOEVER) ARISING OUT OF OR IN ANY WAY CONNECTED WITH THE USE OR PERFORMANCE OF THIS SITE, THE DELAY OR INABILITY TO USE THIS SITE, OR THIS AGREEMENT, EVEN IN THE EVENT OF FAULT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, BREACH OF CONTRACT, OR BREACH OF WARRANTY OF ENRICHK AND EVEN IF ENRICHK HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. NOTWITHSTANDING ANY DAMAGES THAT YOU MIGHT INCUR FOR ANY REASON, YOUR EXCLUSIVE REMEDY FOR ALL OF THE FOREGOING WILL BE LIMITED TO DISCONTINUING YOUR USE OF THE SITE. THESE LIMITATIONS AND EXCLUSIONS REGARDING DAMAGES WILL APPLY EVEN IF ANY REMEDY FAILS. IF HOWEVER, A COURT OF COMPETENT JURISDICTION DETERMINES THAT YOU ARE ENTITLED TO DIRECT DAMAGES PURSUANT TO APPLICABLE LAW, YOU AGREE THAT LIABILITY OF ENRICHK, FOR ANY CAUSE WHATSOEVER AND REGARDLESS OF THE FORM OF THE ACTION, WILL NOT EXCEED THE AMOUNT OF Rs 200.00 (INDIAN RUPEES TWO HUNDRED). YOU ACKNOWLEDGE THAT THIS PROVISION IS FAIR.

11. Responsibility for cyber-attacks and crimes

​

You will be responsible for the introduction of any viruses, trojans, worms, logic bombs, or other material that is malicious or technologically harmful. You must not attempt to gain unauthorized access to the Site, the server on which the Site is stored, or any server, computer, or database connected to the Site. You must not attack the Site via a denial-of-service attack or a distributed denial-of-service attack.
