Extension of due date of filing all AOC-4 e-forms and relaxation in additional fees till 15.02.2021

Keeping in view of various requests from the companies, the Ministry of Corporate Affairs (MCA) has provided relaxation in additional fees to be paid on late filing of Annual Financial Statements for the financial year ended 31st March 2020 by the companies in AOC-4, AOC-4 (CFS), AOC-4 XBRL, AOC-4 Non-XBRL till 15th February 2021 through General Circular No. 04/2021 on 28th January 2021.
Accordingly, it has extended the due date of filing all AOC-4 e-forms up to 15th February 2021 and the companies will be required to pay normal fees on the filing of AOC-4 forms till that and no additional fees will be levied till 15th February 2021.
The last date to file all types of Form AOC-4 by the companies was 30th January 2021 i.e. 30 days from the conclusion of the Annual General Meeting as per Section 129 (3) and Section 137, of The Companies Act, 2013 read with Rule 12 of the Company (Accounts) Rules, 2014.
As per Section 96 of the Companies Act, 2013, every company shall hold an Annual General Meeting (AGM) within a period of six months from the date of closing of the financial year. Accordingly, the companies were required to hold AGM up to 30th September 2020 for the financial year ended 31st March 2020, but due to COVID-19, the Ministry of Corporate Affairs (MCA) had provided an extension of the time limit to the companies to hold AGM for the financial year 2019-20 up to 31st December 2020 through the General Order dated 08.09.2020.
By that, the due date of filing the e-form AOC-4 for all the companies was 30th January 2021 i.e. 30 days from 31st December 2020 which is now further extended up to 15th February 2021 by passing a General Circular.
